Beatty Museum and Historical SocietyIn accordance with NRS81.470 (attachment B) there shall be elcections every
calendar year on or by the anniversary of our charter date for board members as follows:The membership has the right to remove any officer, at any time upon proof of malfeasance of office. Vacancies may be filled by appointment. Interim appointments are by full board approval and effective only until the next election. The treasurer shall have the book open for inspection upon a three-day notice, by any member. There will be one (1) internal audit per-year, by three-member committee appointed and approved by the board. Before a new treasure takes office an audit will be required for all books. Labeling on all exhibits will meet the American Museum Society criteria. Accession number will note all items. Upon the dissolution of this corporation after paying or adequately proving for the debts and obligations of the corporation, and the returning of all items on loan to the museum, the remaining assets shall be distributed to a non-profit fund, foundation, or corporation which is organized and operated exclusively for charitable or educational purposes and which has established it's tax exempt status under Section 501c(3) of the Internal Revenue Code. No part of the net earning of the corporation shall be used for private benefit of it's members, directors, officers, or private individual, except that the corporation shall be empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the exempt purposes for which it was formed. Not withstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income Tax under section 502(c)3 of the Internal Revenue Code. No substantial part of the activities of the corporation shall be: carrying on propaganda, or otherwise attempting to influence legislation. The corporation shall not participate in, or intervene in any political campaign on behalf of any candidate for public office. The duration of the existence of this corporation is the maximum allowed under NRS81.140 (attachment A) |
